Listserved Terms of Service

1. Agreement to Terms

By accessing or using Listserved ("Service"), operated by Dallas TechSaaS Foundry LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Listserved is a software-as-a-service (SaaS) platform that:

• Receives commercial real estate (CRE) listing emails forwarded by users
• Extracts and organizes deal information using artificial intelligence
• Matches deals against user-defined criteria ("Buy Boxes")
• Sends alerts when matching deals are found

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

4.1 Account Creation

To use the Service, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activities under your account. Notify us immediately of any unauthorized access at support@listserved.com.

5. Subscription and Payments

5.1 Pricing

The Service offers various subscription tiers and credit packages as described on our pricing page. Prices are subject to change with 30 days' notice.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Additional Credits are purchased as one-time transactions
• All payments are processed through Stripe

5.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date.

5.4 Taxes

You are responsible for all applicable taxes. Prices displayed exclude taxes unless otherwise stated.

6. Credits System

6.1 Credit Usage

• Credits are consumed when processing emails, calling advanced agents, or ingesting PDF attachments (1 credit per page)
• Unused credits do not expire while your account is active
• Credits are non-transferable between accounts

6.2 Credit Balance

If your credit balance reaches zero, processing will be paused until credits are purchased.

7. User Responsibilities

7.1 Email Forwarding

You may only forward emails that you have the legal right to forward. You are responsible for ensuring compliance with:

• The original sender's terms of use
• Any confidentiality obligations
• Applicable laws and regulations

7.2 Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Forward emails containing malware or malicious content
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with the Service's operation or other users' access
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service beyond intended functionality

7.3 Data Accuracy

We use AI to extract information from emails. You acknowledge that:

• Extracted data may contain errors or omissions
• You are responsible for verifying deal information independently
• The Service does not provide investment advice

8. Intellectual Property

8.1 Our Property

The Service, including all software, algorithms, designs, and content, is owned by the Company and protected by intellectual property laws.

8.2 Your Data

You retain ownership of emails and data you submit to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

9. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

10.1 "As Is" Service

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

10.2 No Investment Advice

The Service provides information extraction and organization tools only. Nothing in the Service constitutes investment, legal, tax, or financial advice.

10.3 Third-Party Content

We are not responsible for the accuracy, legality, or content of emails forwarded to the Service or information extracted therefrom.

11. Limitation of Liability

11.1 Cap on Liability

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11.2 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost deals, or business interruption.

12. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Emails you forward to the Service

13. Termination

13.1 By You

You may terminate your account at any time through the account settings or by contacting support@listserved.com.

13.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment
• Extended inactivity (12+ months)
• Legal requirements

13.3 Effect of Termination

Upon termination:

• Your access to the Service will cease
• We may delete your data after 90 days
• Unused credits are forfeited (see Refund Policy for exceptions)

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in Dallas, Texas, except that either party may seek injunctive relief in court.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

16.4 Assignment

You may not assign these Terms. We may assign them to a successor in interest.
